General Terms and Conditions

1. Definitions

In these terms and conditions, the following definitions apply:

  • Supplementary Agreement: An agreement where the consumer acquires products, digital content, and/or services in connection with a distance contract, and these are supplied by the entrepreneur or by a third party based on an arrangement between that third party and the entrepreneur.
  • Cooling-off Period: The period within which the consumer can exercise their right of withdrawal.
  • Consumer: The natural person not acting for purposes related to their trade, business, craft, or profession.
  • Day: Calendar day.
  • Digital Content: Data produced and supplied in digital form.
  • Continuing Performance Contract: A contract for the regular delivery of goods, services, and/or digital content over a specified period.
  • Durable Data Carrier: Any device, including email, that enables the consumer or entrepreneur to store information addressed to them personally, in a way that allows future reference or use during a period suited to the purpose of the information, and which allows unchanged reproduction of the stored information.
  • Right of Withdrawal: The consumer's option to withdraw from the distance contract within the cooling-off period.
  • Entrepreneur: The natural or legal entity that is a member of Stichting Webshop Keurmerk and offers products, (access to) digital content, and/or services to consumers remotely.
  • Distance Contract: A contract concluded between the entrepreneur and the consumer within the framework of an organized system for distance selling of products, digital content, and/or services, whereby exclusive or partial use is made of one or more means of remote communication up to and including the conclusion of the contract.
  • Model Withdrawal Form: The European model withdrawal form included in Annex I of these terms and conditions.
  • Means of Remote Communication: Means that can be used for concluding a contract without the simultaneous physical presence of the consumer and entrepreneur in the same space.

If the entrepreneur’s activity is subject to a relevant licensing regime, the information about the supervisory authority will be provided.

If the entrepreneur practices a regulated profession:

  • The professional association or organization they are affiliated with.
  • The professional title and the location within the EU or European Economic Area where it was granted.
  • A reference to the professional rules applicable in the Netherlands and information on where and how these rules can be accessed.

3. Applicability

These general terms and conditions apply to every offer made by the entrepreneur and to every distance contract concluded between the entrepreneur and the consumer.

Before the distance contract is concluded, the text of these general terms and conditions will be made available to the consumer. If this is not reasonably possible, the entrepreneur will indicate, before concluding the distance contract, how the terms can be inspected at the entrepreneur's premises and that they will be sent to the consumer free of charge upon request.

If the distance contract is concluded electronically, the text of these general terms and conditions may be provided electronically to the consumer in such a way that it can be easily stored on a durable data carrier. If this is not reasonably possible, the entrepreneur will indicate where the terms can be accessed electronically and that they will be sent electronically or otherwise at the consumer’s request free of charge.

In addition to these terms, if specific product or service conditions apply, the second and third paragraphs apply accordingly, and in case of conflicting terms, the consumer may invoke the applicable provision most favorable to them.


4. The Offer

If an offer has a limited validity or is subject to conditions, this will be explicitly stated in the offer.

The offer includes a complete and accurate description of the products, digital content, and/or services offered. The description is sufficiently detailed to enable the consumer to make a proper assessment of the offer. If the entrepreneur uses images, they will be a truthful representation of the products, services, and/or digital content offered. Obvious mistakes or errors in the offer are not binding for the entrepreneur.

The offer will include information so that the consumer is aware of the rights and obligations associated with accepting the offer.


5. The Contract

The contract is concluded, subject to the provisions of paragraph 4, at the moment the consumer accepts the offer and meets the associated conditions.

If the consumer has accepted the offer electronically, the entrepreneur will immediately confirm receipt of the acceptance electronically. Until this acceptance is confirmed, the consumer can dissolve the contract.

If the contract is concluded electronically, the entrepreneur will implement suitable technical and organizational measures to secure the electronic transfer of data and ensure a secure web environment. If the consumer can pay electronically, the entrepreneur will observe appropriate security measures.

The entrepreneur may, within legal frameworks, ascertain whether the consumer can meet their payment obligations and investigate other facts and factors relevant to responsibly entering into the distance contract. If the entrepreneur has good reasons to refuse the contract, they are entitled to refuse an order or attach special conditions to its execution.

The entrepreneur will send the following information to the consumer no later than delivery:

a. The business address of the entrepreneur's establishment for complaints.
b. The conditions and methods for exercising the right of withdrawal or a statement regarding the exclusion of this right.
c. Information about existing after-sales services and guarantees.
d. The price, including all taxes, of the product, service, or digital content; delivery costs, if applicable; and payment, delivery, or execution terms of the distance contract.
e. If the contract is of indefinite duration or a duration exceeding one year, the terms for termination of the contract.
f. If the consumer has a right of withdrawal, the withdrawal form.

For continuous transactions, the above applies only to the first delivery.
